Commencement of work
The Proposee agrees to provide written approval of this submission before any work is commenced, as a Letter of Agreement between The Proposee and Netright concerning the work outlined in this submission.
If work commences without a written confirmation it is agreed that The Proposee accept and are bound to these terms of condition.
Payment
The Proposee agrees to pay a deposit of $xxx.xx plus GST on acceptance with the final balance of the invoiced amount within 10days of receipt of an invoice. If the work time exceeds 8 calendar weeks in duration, The Proposee agrees to payment by calendar monthly invoices based on the work done to date.
Graphics Pictures Video and text
All media content supplied by The Proposee should be free from copyright or come with the relevant written permissions. Netright cannot be held responsible for any copyright infringements made by the use of such material supplied by The Proposee . Netright reserves the right to hold the copyright on any material created during the course of this project.
Fees for service
It is agreed that the fee for service shall be the cost estimates provided within the financial section of this submission, unless work undertaken exceeds work outlined. If work undertaken exceeds the items specified within the Solutions section of this submission, The Proposee agrees to pay appropriate fees for the excess work.
Excess work
This is defined as any work involving additions to the list of items within the Solution section or changes to finished sections after sign off by an authorised representative of The Proposee.
Liability regarding work and materials provided
It is agreed that all work and materials provided for The Proposee by Netright will be free and clear of all liens and encumbrances and may be lawfully used by The Proposee without infringing upon the rights of others including, and without limiting the generality of the foregoing, any copyright trade secret patent or trade mark rights of any third party.
Copyright
It is agreed that The Proposee will have the right to retain and reproduce any artwork, manuals, information, material reports and other output which is produced from the performance of the work outlined in this submission within the Solution section excluding any material used from third party sources unless such permissions have been granted by the relevant copyright holder(s). It is agreed that Netright hereby assign to The Proposee , upon written confirmation of this submission, all rights title and interest in the future copyright of any artwork, manuals, information, material reports and other output which is produced, extended or modified during the performance of the work outlined within the Solution section excluding any material used from third party sources unless such permissions have been granted by the relevant copyright holder(s). This granting of copyright does not extend to the use of design proposals submitted but not approved by The Proposee for the work outlined within the Solution section.
The Schedule
The outlined schedule within the proposal can from time to time differ from that outlined due to differing project needs and outcomes. Netright will advise of any such outline changes.
Confidentiality
It is agreed that employees of Netright shall not at any time either during the continuance of the work outlined or thereafter, except in the course of their duties, divulge any of the confidential affairs of The Proposee or any of its clients or associated companies to anyone whatsoever without the previous consent in writing of The Proposee .
Litigation
It is agreed that Netright indemnify and hold The Proposee harmless from and against all claims for injury or death to persons or damage to property (including cost of litigation and legal fees) caused by, arising from or incidental to the services to be performed during the performance of the work outlined, except any such claims which are caused by the negligence of The Proposee or its employees, and it is agreed that Netright shall notify The Proposee in writing of full details of any such claim.
Content
All and any content that is contained within any website hosted by Netright or within any servers are strictly prohibited from containing any sexually explicit material in any form, unless the explicit written permission is obtained from Netright. Netright reserves the right to terminate this agreement without warning and remove all services in any breach of this term.
Amendments to these Terms and Conditions
All and any amendments to the terms and conditions outlined in this submission must be provided in writing by The Proposee and signed by an authorised representative of Netright prior to the commencement of work outlined in this submission.
